Corporate Development Manager

Description

We are looking for a talented Corporate Development Manager to join our team in Nashville, TN; however location can be flexible. (Certain locations are restricted) This role will support a variety of business strategies and development projects through qualitative and quantitative business analysis; projects within a business unit, across multiple business units, or involve an acquisition, the development of an equity alliance, or the creation of a joint venture. This position is expected to be able to lead cross functional projects and manage teams under tight deadlines.

In this role, you will make an impact in the following ways:

  • Projects vary in scope (JV Creation, Acquisitions, Divestitures & Strategic Partnerships)

  • Develop financial valuation parameters and oversee development of financial models/assumptions for target project.

  • Evaluate proposed transactions from strategic, financial, and structuring perspectives and play a key role in negotiations and deal flow.

  • Identify and review business opportunities to help businesses achieve their growth targets.

  • Support due diligence activities and actively participate in deal development, taking a lead role in financial and structuring steps, provide financial and business analysis and develop communication plans.

  • Review contracts and understand their implications on deal structure

  • Support target project (dis) integration activities

  • Interact with investment banks as required

  • Identify, support or lead diverse cross functional teams; prioritize task and manage work flows.

  • Champion the A-review and delegation of authority processes among business unit leaders.

  • Designs, coordinates and executes cross-functional due diligence exercises on potential merger and acquisition transactions including, but not limited to, engaging with different functional stakeholders, engaging and managing third party providers, consolidating and prioritizing issues as they arise, and analyzing these findings to assess their impact on valuation, definitive agreements, and integration.

  • Analyzes complex situations and the resulting financial implications by building and working with detailed financial models for discounted cash flow, market multiple, and other analysis; recognizes accounting impacts of various projects and transactions analyzed in order to communicate financial impact to various stakeholders within business units and corporate.

  • Leads the work cross functionally in close collaboration with Legal, Tax, and Treasury to determine the best legal entity structure, governance mechanisms, and transaction structures to achieve Cummins’ objectives in a given transaction.

  • Arranges and prioritizes complex moving pieces in negotiations to achieve the optimal outcome on behalf of Cummins Inc.; assesses the circumstances at hand in order to establish a leverage position, and identify the initial position, walkaway position, and the other parties likely response.

Education, Licenses, Certifications

  • Bachelor’s degree – Finance, Accounting, Business, Strategy required

  • CPA and / or CFA preferred

  • This position may require licensing for compliance with export controls or sanctions regulations.

Experience

  • 4-6 years of experience in corporate development, investment banking or transaction advisory services.

  • at least 10 years of corporate experience

Additional Requirements:

  • Willingness to travel (up to 25% of the time) for due diligence and negotiations.

  • Evaluate acquisition, and strategic investment opportunities, coordinate due diligence processes, assist in negotiations, and participate in the overall execution of transactions.

  • Prepare and/or oversee the preparation of detailed financial analysis of mergers and acquisitions, and strategic investments.

  • Prepare and/or oversee the preparation of presentations that outline the strategic and financial rationale for transactions for senior management and the Board of Directors.

  • Partner with cross-functional teams to coordinate and administer due diligence efforts.

  • Coordinate communications among project teams, senior management, external advisors, and counterparties.

  • Negotiate NDAs and other transaction-related agreements with counterparties.

Base salary range: $ 112,000 - $ 168,000

Please note that the salary range provided is a good faith estimate of the applicable range. The final salary offer will be determined after considering relevant factors, including a candidate’s qualifications and experience, where appropriate.
